GENERAL TERMS AND CONDITIONS

Article 1 – Definitions

Heliviews: the company operating under the name Bali Parasol.com.

Customer: any natural person (consumer) or legal entity (business customer).
-
Consumer: a customer not acting in the course of a profession or business.
-
Business Customer (B2B): a customer acting in the course of a profession or business.
-
Products: Balinese parasols, parasol bases and related items.
-
Agreement: any purchase agreement between Heliviews and the customer.
-
Webshop: the online sales environment of Bali Parasol.com.
Article 2 – Applicability
-
These terms apply to all offers, orders and agreements.
-
Deviations are only valid if agreed in writing.
-
The customer’s general terms and conditions are expressly rejected.

Article 3 – Offers and Prices
-
All offers are non-binding and subject to availability.
-
Prices are in euros and include VAT unless stated otherwise.
-
Obvious errors or mistakes are not binding on Heliviews.
-
Heliviews reserves the right to change prices until the agreement is concluded.

Article 4 – Formation of Agreement
-
The agreement is concluded after the order is placed and confirmed by Heliviews.
-
Heliviews reserves the right to refuse an order or impose additional conditions.

Article 5 – Payment (Webshop & B2B)
-
Payment via the webshop is made through, among others:
-
iDEAL (to be WERO Europe soon)
-
Bancontact (Belgium)
-
Stripe (credit card and international payments)
-
-
Payment must be made in full
-
For B2B, payment on invoice may be allowed with a payment term of 14 days.

In case of late payment:
-
the customer is automatically in default without notice;
-
statutory interest and collection costs can be charged.

Ship out only after full payment

Article 6 – Delivery
-
Delivery takes place at the address provided by the customer.
-
Delivery times are indicative and never strict deadlines.
-
Delivery will only take place after full payment has been received, unless agreed otherwise.
-
The risk of loss, theft or damage transfers to the customer upon delivery.
-
The customer is responsible for correct and complete delivery information.

Article 7 – Right of Withdrawal (Consumers only)
-
Consumers have the right to withdraw within 14 days after receipt without giving reasons.
-
Returns are at the consumer’s own cost and risk.
-
Products must be unused, undamaged and – where reasonably possible – in original packaging.
-
The right of withdrawal does not apply to custom-made or specially ordered products.
-
Refunds will be made within 14 days after receipt of the returned goods.

Article 8 – No Right of Withdrawal for B2B
-
Business customers do not have a statutory right of withdrawal.
-
Returns are only accepted after prior written approval by Heliviews.

Article 9 – Warranty and Product Characteristics
-
Heliviews ensures that products comply with the agreement and reasonable standards of quality.
-
Balinese parasols are handmade; minor variations in color, size and finish are inherent and do not constitute defects.
-
Materials such as wood, fabric and bamboo are subject to weather conditions, discoloration and wear.
-
These characteristics are not considered defects.

Article 10 – Use and Responsibility
All products are intended for outdoor use; use is at all times entirely at the customer’s own risk.
-
The customer is fully responsible for:
-
proper and safe installation;
-
adequate and secure anchoring;
-
the use of a suitable and stable parasol base.
-

The customer must take appropriate precautions in weather conditions such as wind, storms and rain.
-
Parasols must always be closed in time in case of wind or adverse weather conditions.
-
Heliviews shall not be liable for any damage whatsoever caused by:
-
falling over;
-
being blown over or away;
-
improper installation;
-
incorrect, unsafe or negligent use.
-
-
Use in public, commercial or high-traffic environments is entirely at the customer’s responsibility and requires additional safety measures.
-
Advice: please retain your purchase receipt. Your purchase may be covered by your household insurance. Heliviews provides no guarantee regarding insurance coverage or payout.

Article 11 – Liability
-
Heliviews is only liable for direct damage resulting from intent or gross negligence.
-
Any liability is limited to the invoice amount of the relevant order.
-
Heliviews shall never be liable for:
-
indirect damage;
-
consequential damage;
-
business losses;
-
loss of profit;
-
damage resulting from improper use or weather conditions.
-
-
All liability for damage resulting from outdoor use and weather influences is expressly excluded.

Article 12 – Force Majeure
-
Heliviews is not obliged to fulfill any obligation in case of force majeure.
-
Force majeure includes, but is not limited to: transport issues, import delays, strikes, pandemics and natural disasters.
-
In such cases, Heliviews may suspend or terminate the agreement.
​
Article 13 – Retention of Title
-
All delivered products remain the property of Heliviews until full payment has been received.
​
Article 14 – Complaints
-
Complaints must be submitted in writing within 7 days after delivery.
-
Complaints do not suspend payment obligations.
​
Article 15 – Governing Law
-
All agreements are governed by Dutch law.
-
Disputes shall be submitted to the competent court in Noord-Holland.
​
Article 16 – Privacy and Data Processing
-
Heliviews processes personal data in accordance with GDPR.
-
Data is used solely for order processing, payment and delivery.
-
Payments via iDEAL and Stripe are handled by secure payment providers.
​
Article 17 – Final Provisions
-
If any provision is invalid, the remaining provisions remain in full force.

Heliviews reserves the right to amend these terms
